Terms of Use

1.1 Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you (the "Client", "Organisation", or "User") and Butler Fox Limited ("we", "us", "our", or "Provider") governing your access to and use of P³MO Central (the "Service", "Platform", or "Software").

1.2 Acceptance

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1.3 Authority

You represent and warrant that you have the legal authority to enter into this agreement on behalf of your Organisation and to bind your Organisation to these Terms.

1.4 Geographical Scope

This Service is provided exclusively to clients located within the United Kingdom. By using this Service, you confirm that your primary place of business is within the UK.

3.1 P³MO Central Platform

P³MO Central is a cloud-based portfolio, programme, and project management office (P3MO) platform providing:

• Project and programme portfolio management
• Risk, Action, Issue, and Dependency (RAID) tracking
• Resource capacity planning and allocation
• Financial control and budget management
• Benefits realisation tracking
• AI-powered risk analysis and predictive analytics (Intelligence tier only)
• Dashboards and executive reporting

3.2 Service Availability

We will use commercially reasonable efforts to make the Service available 99.5% of the time on a monthly basis, subject to scheduled maintenance windows.

The Service is offered in three subscription tiers:

Each Authorised User must have a valid user licence. You are responsible for:

• Ensuring that only Authorised Users access the Service
• Maintaining the confidentiality of login credentials
• Immediately notifying us of any unauthorised access

5.1 Data Ownership

You retain all ownership rights in your Client Data. We claim no intellectual property rights over the material you provide to the Service.

5.2 Data Protection

We process Personal Data in accordance with UK GDPR, the Data Protection Act 2018, and our Privacy Policy. Client Data is stored on servers within the UK or EEA.

5.3 Data Security

Security measures include:

• Encryption in transit (TLS 1.3) and at rest (AES-256)
• Multi-tenant data isolation
• Regular security audits and penetration testing
• Microsoft Entra ID authentication
• Regular backups with point-in-time recovery

5.4 Data Retention

Following termination, we will retain your data for 90 days to allow for data export, after which it will be permanently deleted unless otherwise required by law.

6.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms, in a professional manner consistent with its intended purpose as a project management platform.

Fees are charged in British Pounds (GBP) and may be billed annually or monthly in advance.

7.2 Taxes

All fees are exclusive of VAT and other applicable taxes, which will be added to invoices where required by law.

7.3 Refunds

Fees are non-refundable except where required by law.

8.1 Automatic Renewal

Subscriptions automatically renew unless either party provides written notice of non-renewal at least 30 days before the end of the current term.

8.2 Termination

You may terminate your subscription at any time. Termination will be effective at the end of the current billing period.

9.2 AI/ML Disclaimers

AI-powered predictions are for informational purposes only and should not be relied upon as the sole basis for decision-making. You acknowledge that AI systems may produce inaccurate results.

10.3 Exceptions

Nothing excludes liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Breach of data protection obligations

11.1 Governing Law

These Terms shall be governed by the laws of England and Wales.

11.2 Jurisdiction

The parties submit to the exclusive jurisdiction of the courts of England and Wales.
